Speaker: Simon Witney (Debevoise & Plimpton)

Dr Simon Witney worked as a private equity lawyer for 20 years before embarking on his doctoral research at London School of Economics in 2013. At this seminar he will be presenting a key part of his research, looking at the way in which corporate governance is organised in the relatively freely contractible setting of a private equity-backed company. He presents a framework to explain the governance structures that can be observed in this paradigm, and explores how these structures reinforce the economic motivations and incentives of the various actors. In passing he will also explain why UK corporate law provides a sub-optimal foundation for optimal governance structures.
